Please read these Terms carefully before using Waplancer IT Solutions' services, platform, or registering as a partner. By accessing our services, you confirm that you have read, understood, and agree to be legally bound by these terms.
1 Acceptance of Terms
These Terms & Conditions ("Terms") constitute a legally binding agreement between you ("User", "Client", "Freelancer", "Partner") and Waplancer IT Solutions ("Waplancer", "we", "us", "our"), governing your access to and use of the Waplancer website, portals, APIs, and all associated services (collectively, the "Platform").
By creating an account, registering as a partner, enrolling in a workshop, or simply browsing the Platform, you confirm that:
- You have read, understood, and agree to be bound by these Terms.
- You are at least 18 years of age or have valid parental/guardian consent.
- You have the legal authority to enter into this agreement on behalf of yourself or any entity you represent.
- You agree to our Privacy Policy and Cancellation & Refund Policy, which are incorporated herein by reference.
If you do not agree with any part of these Terms, you must immediately discontinue use of the Platform.
2 Definitions

| User | Any individual or entity accessing or using the Platform in any capacity. |
| Freelancer | A registered independent professional offering services through the Platform. |
| Business / Client | An individual or company that posts requirements and engages freelancers or Waplancer services. |
| Centre Partner | An entity authorised by Waplancer to operate an Authorised Service Centre. |
| Workshop | Training sessions, courses and skill-development programmes organised by Waplancer. |
| Content | Text, images, code, documents, profiles, reviews and any material posted on the Platform. |
| Service Fee | Commission or platform charges applied to transactions facilitated by Waplancer. |
3 Services Offered
Waplancer IT Solutions provides the following services:
- Freelancer Marketplace: Connecting skilled freelancers with businesses requiring IT, creative, and digital services.
- IT Services & Consulting: Custom software development, web design, mobile app development, cloud solutions, cybersecurity, and IT infrastructure consulting.
- Digital Marketing: SEO, social media marketing, content marketing, PPC campaigns, email marketing, and branding.
- Authorised Centre Partnership Programme: A structured partnership model enabling individuals and businesses to operate authorised Waplancer service centres.
- Workshops & Training Programmes: Skill development, certification courses, and professional training sessions.
- Business Solutions: Appointment scheduling, project management, lead management, CRM tools, and booking systems.
Waplancer reserves the right to modify, expand, or discontinue any service at any time with reasonable prior notice.
4 User Accounts & Registration
4.1 Account Creation: To access most services, you must register and create an account. You agree to provide accurate, current, and complete information during registration and to keep your profile updated at all times.
4.2 Account Security: You are fully responsible for maintaining the confidentiality of your login credentials. Notify us immediately at support@waplancer.com of any unauthorised access. Waplancer will not be liable for any loss resulting from unauthorised use of your account.
4.3 One Account Per User: Each user may maintain only one active account per portal. Creating multiple accounts to circumvent restrictions is a violation of these Terms.
4.4 Verification: Waplancer may require identity verification — Aadhaar, PAN, GST, business registration documents — before activating accounts or processing withdrawals. Failure to provide requested documentation may result in suspension.
4.5 OTP & Email Verification: All accounts require email and/or mobile OTP verification. Operating an unverified account beyond the grace period may result in restricted access.
5 Freelancer Platform Rules
5.1 Profile Accuracy: Freelancers must accurately represent their skills, experience, qualifications, and portfolio. Misrepresentation results in immediate account termination.
5.2 Service Delivery: Freelancers agree to deliver services within agreed timelines, to the quality standards described in the project agreement, and to communicate proactively about any delays or issues.
5.3 Platform Exclusivity: For projects initiated through Waplancer, freelancers agree not to solicit or accept payments directly from clients outside the platform for 12 months from first contact. Violations attract a penalty equal to 15% of the project value or ₹5,000, whichever is higher.
5.4 Service Fees: Waplancer charges a platform service fee on transactions. Current fee structures are available in your dashboard and may be updated with 30 days' notice.
5.5 Reviews: Reviews must be honest, factual, and non-defamatory. Waplancer reserves the right to remove reviews that violate community guidelines.
5.6 Dispute Resolution: In payment disputes, Waplancer's support team acts as an impartial mediator. Waplancer's decision in mediation is final and binding on both parties.
6 Business & Client Obligations
6.1 Project Briefs: Clients must provide clear, complete, and honest project requirements. Significantly changing scope after commencement may result in additional charges.
6.2 Timely Feedback: Clients agree to provide feedback, approvals, and required materials promptly. Delays exceeding 14 days without communication may result in project suspension.
6.3 Payment Obligations: Clients agree to pay all agreed fees on time. Waplancer may withhold deliverables until full payment is received for direct service engagements.
6.4 Proper Use: Services must not be used to create, promote, or distribute illegal content, spam, malware, or any content that violates applicable law.
7 Authorised Centre Partners
7.1 Partnership Agreement: Centre Partners are required to sign a separate Partnership Agreement. These Terms apply alongside that agreement.
7.2 Brand Standards: Authorised Centres must use the Waplancer brand identity, service standards, and operational procedures as specified in the Centre Operations Manual.
7.3 Revenue Sharing: Commission and revenue-sharing ratios are defined in the Partnership Agreement and may be revised with 60 days' written notice.
7.4 Non-Compete: Centre Partners may not simultaneously operate or represent competing brands providing identical IT services within the same geographic zone defined in the Partnership Agreement.
7.5 Training Compliance: Mandatory training modules must be completed within specified deadlines to maintain Authorised status.
7.6 Termination of Partnership: Waplancer may terminate a Centre Partnership with 30 days' notice for performance failure, brand misuse, fraud, or violation of these Terms. The partner must cease using Waplancer branding immediately on termination.
8 Workshops & Training Programmes
8.1 Enrolment: Workshop registration is confirmed only upon receipt of full fee payment unless an instalment plan is agreed in writing.
8.2 Attendance: Minimum 75% attendance is required to be eligible for certificate issuance.
8.3 Content Ownership: All workshop materials, presentations, and recordings are proprietary to Waplancer. Recording, distributing, or reselling workshop content is strictly prohibited.
8.4 Certificate Validity: Certificates are valid as stated on the document. Waplancer provides no guarantee of employment outcomes from participation in workshops.
8.5 Rescheduling: Waplancer reserves the right to reschedule or cancel workshops with 48 hours' notice. A full refund or free rescheduling will be offered in such cases.
9 Payments & Billing
9.1 Accepted Payment Methods: Waplancer accepts UPI, Net Banking, Credit/Debit Cards, and Bank NEFT/RTGS transfers.
9.2 Currency: All prices are in Indian Rupees (INR) unless explicitly stated otherwise.
9.3 Taxes: All prices are exclusive of GST unless stated. GST at applicable rates will be added to invoices. Clients outside India are responsible for any applicable local taxes.
9.4 Late Payment: Invoices unpaid beyond the due date attract a late fee of 1.5% per month on the outstanding amount. Services may be suspended for overdue accounts.
9.5 Freelancer Withdrawals: Earnings may be withdrawn to verified bank accounts. Waplancer deducts applicable TDS as per Indian Income Tax law.
Fraud Prevention: Any attempt to manipulate earnings, generate fake transactions, or circumvent payment systems will result in permanent account suspension and potential legal action.
10 Intellectual Property
10.1 Waplancer IP: The Waplancer name, logo, website design, software, and proprietary tools are the exclusive intellectual property of Waplancer IT Solutions. No part may be copied, modified, or distributed without written permission.
10.2 Client IP: Content and branding materials provided by Clients remain their property. By uploading to the Platform, you grant Waplancer a limited licence to host and process such content solely to provide the agreed services.
10.3 Work Product: Intellectual property ownership of deliverables transfers to the Client only upon receipt of full payment and as specified in the project agreement.
10.4 User Content: You retain ownership of content you post (reviews, portfolio items, briefs). You grant Waplancer a royalty-free licence to display and moderate such content on the Platform.
11 Prohibited Activities
You agree NOT to:
- Post false, misleading, or fraudulent information.
- Impersonate any person or entity, or misrepresent your affiliation.
- Upload malware, viruses, ransomware, or any malicious code.
- Attempt to gain unauthorised access to any system, database, or user account.
- Use automated bots or scrapers to extract Platform data without permission.
- Harass, threaten, discriminate against, or abuse other users.
- Solicit users to transact outside the Platform to avoid service fees.
- Engage in money laundering, tax evasion, or any illegal financial activity.
- Create fake reviews, ratings, or endorsements.
- Violate any applicable local, national, or international law or regulation.
Violations may result in immediate account suspension, fund withholding, and/or referral to law enforcement.
12 Limitation of Liability
12.1 To the maximum extent permitted by applicable law, Waplancer's total liability for any claim shall not exceed the amount paid by you in the 3 months preceding the claim.
12.2 Waplancer is not liable for: indirect, incidental, or consequential damages; loss of profits, revenue, data, or business opportunities; losses arising from third-party service failures; or losses resulting from your breach of these Terms.
12.3 Force Majeure: Waplancer is not liable for delays due to circumstances beyond reasonable control, including natural disasters, pandemics, internet outages, or government actions.
12.4 Third-Party Links: Waplancer is not responsible for the content, privacy practices, or reliability of any third-party site linked from the Platform.
13 Termination
13.1 By User: You may close your account at any time by contacting support. Pending obligations (active projects, unpaid invoices) must be settled before closure.
13.2 By Waplancer: Waplancer may suspend or permanently terminate your account for violation of these Terms, fraudulent activity, legal compliance requirements, or non-payment of dues.
13.3 Effect of Termination: Upon termination, your right to access the Platform ceases immediately. Waplancer may delete your account data after 90 days. Sections on IP, liability, and governing law survive termination.
14 Governing Law & Dispute Resolution
14.1 Governing Law: These Terms are governed by the laws of India, specifically the Information Technology Act 2000, the Indian Contract Act 1872, and other applicable statutes.
14.2 Jurisdiction: Any legal proceedings shall be subject to the exclusive jurisdiction of the courts in Madhya Pradesh, India.
14.3 Dispute Resolution Process:
- Informal Resolution: Contact support@waplancer.com. We will attempt resolution within 15 business days.
- Mediation: If informal resolution fails, disputes are referred to an agreed mediator.
- Arbitration: Unresolved disputes are settled by binding arbitration under the Arbitration and Conciliation Act 1996. The arbitration seat is Madhya Pradesh.
15 Changes to Terms
Waplancer reserves the right to amend these Terms at any time. For material changes, registered users will be notified via email or in-platform notification at least 14 days before changes take effect. Continued use of the Platform after the effective date constitutes acceptance of the revised Terms.
